The 35-year-old woman said she awoke to find one of them naked and looming over her.
Lesley Jones, prosecuting, said the woman and a female friend had been out drinking wine and cocktails at a string of bars before they were approached by "friendly" Swedes Per Hammarback, 27, and Hjalmar Lindholm, 28, at the Kingly Club, near Oxford Circus.
The four went to Lindholm's flat in Soho to drink vodka into the early hours in August last year.
But the woman was overwhelmed by tiredness and went into the bedroom where she fell asleep fully clothed.
Her next memory was of waking up with one of the men, who were laughing, naked on top of her, Southwark crown court was told.
The bankers insist the woman had agreed to sex. Miss Jones said: "They say at no stage was she asleep or unconscious."
But she added: "They deceitfully used her inertia to have sex with her without obtaining her consent."
Hammarback, of Queensway, and Lindholm, of Soho, have pleaded not guilty to all the charges.
The trial continues.
