The Prince was at the Barracuda club, in Newquay, Cornwall, in the early hours of Saturday morning, during a weekend with friends.
Staff at the club, renowned locally for its £1 party night, said he left just after 1am and later a fight broke out at 2.30am in which a man was left with a serious facial injury.
A spokesman for Devon and Cornwall Police said the attack was "a very nasty assault".
"We can categorically say neither the Prince nor his party were involved with the incident," he said.
The injured man was taken to the Royal Cornwall Hospital, at Treliske, Truro, for treatment.
A source close to Prince William said: "He left before the incident happened."
Three men were arrested and later released on bail.
A spokesman for the Barracuda club said the Prince was with about eight friends.
"It seemed to be a fairly normal night out for them, they had a few drinks and left at about 1.10am."
