The music mogul said the X Factor judge is refusing to speak to him after he appeared on comedian Peter Kay's reality send-up, Britain's Got The Pop Factor And Possibly A New Celebrity Jesus Christ Soapstar Superstar Strictly On Ice.
Waterman starred as himself on the programme, which poked fun at TV talent shows and the judges, particularly the X Factor.
More than six million people tuned in to watch the comedy special, Channel Four's biggest audience of the year.
Waterman, 61, said Cowell, 49, was furious to see him on the show and is now refusing to speak to him.
He said: "Simon isn't returning any of my phone calls.
"He's one of my best mates but he's fallen out with me. He doesn't have a sense of humour."
Cowell said of Kay's spoof The Winners Song, which charted at No2: "I thought the show was clever. But the record was stupid."
