The two clubs had reached an impasse after City tried to back out of the original deal last Thursday night but Pompey called in the Premier League, claiming the 29-year-old's move had already been completed.
The Premier League confirmed the paperwork for the switch had been submitted before the transfer deadline, meaning the move will satisfy FIFA, but City had still been arguing the deal was not finalised due to some outstanding issues.
With the Premier League keen for the clubs to agree a compromise, and City manager Sven-Goran Eriksson anxious to have the third-highest scorer in the top flight this season among his ranks, the clubs have thrashed out a new deal.
It is understood Portsmouth will still receive the £7.6million fee agreed last week, although some terms of the transfer have been altered.
It only emerged over the weekend that Jermain Defoe's move from Tottenham to Portsmouth was a loan deal rather than a permanent transfer.
With Portsmouth due to receive the £7.6million for Benjani, it means they should be able to match the £7million fee wanted by Spurs in order to make the Defoe deal permanent.
Defoe will be keen to stay for good - after he was called into the England squad, manager Fabio Capello made it clear the reason had been that he was now a first-choice striker for his club.
