It was the familiar tale for England in this series so far, as their top order all made starts without any of them going on to make a big score.
The hosts were in danger of failing to exploit the favourable conditions after skipper Andrew Strauss opted to bat first, but Morgan - who was dropped by Mike Hussey on 38 - supplied the late fireworks to help England post easily their highest score of the series so far.
The Irishman plundered three sixes as he scored 58 from 41 balls and helped set the Australians a run-a-ball target the hosts could justifiably believe they can defend to register a first win of the series.
Skipper Andrew Strauss has shouldered the batting responsibility during the series so far, but he fell into bad habits when he was trapped leg before attempting a reverse-sweep off Nathan Hauritz for 35 off 38 balls.
Strauss' dismissal brought Ravi Bopara to the crease, but in a summer where he has failed to take his chances he again let another one pass on a Nottingham wicket seemingly full of runs, moving serenely to 18 before he lifted a harmless Shane Watson delivery to Hauritz at deep square leg.
Denly was similarly untroubled in getting to 45 - a straight one-bounce four off Mitchell Johnson the highlight of his knock - but he fell in an almost carbon copy of Bopara's dismissal with Hussey taking a comfortable chance off Johnson.
Matt Prior and Owais Shah steadied things in a 60-run stand, from 66 balls, that had again relied on strokeplay over invention but Prior eventually lost his composure dancing down the wicket to Hauritz and missing a ball that turned inside his bat to be stumped by Tim Paine for a 44-ball 37.
Wickets fell around Morgan with Stuart Broad (22) expertly run out by Ricky Ponting before his own innings was ended on 58 from 41 balls when he reverse swept Bracken to Peter Siddle.
Last pair Adil Rashid and Ryan Sidebottom then took 18 from the final over, before the Yorkshireman was run out by Paine off the final ball attempting to steal a single.
