The 30-year-old, who started on pole, finished 5.368 seconds ahead of Spanish team-mate Jorge Lorenzo as the pair completed a Yamaha one-two for the second consecutive race.
Ducati rider Casey Stoner of Australia made up the podium, almost 18 seconds behind Lorenzo.
Rossi's triumph earned him sole leadership in the overall standings, having headed to Holland level on 106 points with Lorenzo and Stoner.
The Italian moved onto 131 points, five clear of Lorenzo and nine ahead of Stoner.
It also saw him become only the second man to reach a hundred grand prix victories, with only 15-time world champion Giacomo Agostini (122) having enjoyed more.
Spain's Dani Pedrosa led the way briefly early on in Assen from second on the grid before Rossi regained the upper hand, with Stoner then also enjoying a short stint at the front before Rossi took command of proceedings for good.
Pedrosa crashed out after four laps, with his Honda colleague Andrea Dovizioso of Italy forced out in similar circumstances six laps later.
The Tech 3 Yamaha of American Colin Edwards went on to take fourth, almost half a minute behind Rossi.
Australian Chris Vermeulen (Suzuki) posted his best result of the year with fifth, while Great Britain's James Toseland (Tech 3 Yamaha) capitalised on a last-lap crash for Finn Mika Kallio (Pramac Ducati) to finish sixth.
