The Terriers were given permission to open talks with Clark, 36, on Tuesday by Norwich, where he has been working as assistant to manager Glenn Roeder.
Clark, who is set to name Derek Fazackerley as his assistant, has agreed a contract at the Galpharm Stadium until 2012 but Director of football development Gerry Murphy will stay in caretaker charge for Saturday's Coca-Cola League One clash at Southend.
Chairman-elect Dean Hoyle told the club's official website: "Some fans may look at the appointment of Lee and worry about young age and his perceived lack of experience and I suppose in a sense it is a gamble for the club as he has no track record as a manager. But he is exactly what I was looking for and he will be surrounded by experience."
He added: "He definitely embraces what we want to achieve here at Huddersfield Town."
The former Newcastle midfielder replaces Stan Ternent, sacked on November 4 after just six months in the job.
Clark had worked alongside Roeder at Carrow Road since November 2007 after quitting as a player while in his second spell at hometown club Newcastle the previous May.
He also had spells following big money moves to Sunderland, in 1997, and Fulham, in 1999, before returning to St James Park in August 2005.
